1. Agreement to Terms

By accessing or using Interview Prompter ("Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Interview Prompter is an AI SaaS platform and desktop application that provides real-time transcription, interview assistance, and AI-generated response suggestions. The Service may integrate third-party providers for transcription, model inference, payments, and hosting.

3. Eligibility and Account Responsibility

You must provide accurate registration details and keep your account credentials secure. You are responsible for all activities under your account and for any use of your account by others.

4. Acceptable Use

You agree not to use the Service to:

• Violate applicable laws, regulations, or third-party rights
• Record, capture, or process audio without required consent
• Upload malware, exploit the platform, or disrupt service availability
• Attempt unauthorized access to systems, accounts, or data
• Resell, sublicense, or commercially exploit the Service without permission
• Use automated methods to scrape, reverse engineer, or extract source logic
• Use the Service for fraud, deception, or high-risk prohibited activities

5. Recording and Legal Compliance

You are solely responsible for understanding and complying with recording, surveillance, wiretap, data protection, employment, and consent laws that apply to your use of the Service.

6. Credits, Payments, and Billing

6.1 Credit-Based Billing Model

The Service is sold as prepaid credit packs, not recurring subscriptions. Purchasing credits gives you the right to consume product usage according to the pricing and credit rules displayed at checkout.

6.2 Prepaid, Final Purchases

All credit purchases are prepaid and final. Once credits are purchased, they are non-refundable and non-reversible, except where required by applicable law.

6.3 No Subscription Cancellation Rights

Because the Service does not use recurring subscriptions, there is no recurring billing cancellation workflow for credit packs.

6.4 Payment Processing

Payments are processed by Stripe or other payment processors. You authorize us and our processors to charge the selected amount and applicable taxes.

6.5 Pricing Changes

We may change pricing, packaging, or credit allocation at any time for future purchases. Changes do not retroactively alter completed purchases.

7. Refund Policy Reference

Refund terms are governed by our Refund Policy. In case of conflict between these Terms and the Refund Policy, the stricter no-refund rule applies to the maximum extent allowed by law.

8. AI Output Disclaimer

AI-generated output may be incomplete, inaccurate, or unsuitable for your context. You are solely responsible for reviewing, validating, and deciding whether to use generated output.

9. Intellectual Property

The Service, including software, branding, interface design, and underlying models and workflows, is owned by Interview Prompter or its licensors and protected by intellectual property laws.

10. Suspension and Termination

We may suspend or terminate access at our discretion for security, abuse, non-payment risk, legal compliance, policy violations, or operational reasons.

11. Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute in bad faith, we may suspend or terminate your account and recover losses, fees, and collection costs permitted by law.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, OR ERROR-FREE OPERATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERVIEW PROMPTER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITY.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Interview Prompter and its affiliates from claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your content, or your breach of these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the competent courts in the Netherlands for any dispute arising out of or relating to the Service.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after updated Terms are posted constitutes acceptance of the revised Terms.
